Non-Disclosure Agreement (NDA)

Sugar Daddy’s Cigars and Cocktails Members

This Non-Disclosure Agreement ("Agreement") is entered into as of [DATE], by and between Sugar Daddy’s Cigars and Cocktails and [MEMBER NAME] (residing at [MEMBER ADDRESS].

WHEREAS, the Company operates a private membership club, "Sugar Daddy’s Cigars and Cocktails," which provides exclusive access to events, information, and networking opportunities; and

WHEREAS, the Member desires to participate in the Company's membership program and in doing so, will have access to confidential and proprietary information; and

WHEREAS, the Company desires to protect its confidential and proprietary information from unauthorized disclosure.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. Definition of Confidential Information.

"Confidential Information" means any and all information disclosed by the Company to the Member, whether oral, written, electronic, or otherwise, including, but not limited to:

* Membership lists and member information.

* Event details, schedules, and locations.

* Business strategies, marketing plans, and financial information.

* Proprietary recipes, cigar selection details, and cocktail formulas.

* Information concerning the Company's suppliers, vendors, and partners.

* Intellectual property, including trademarks, trade secrets, and copyrighted materials.

* Any information designated as confidential by the Company.

* Conversations held within the premises of Sugar Daddy's Cigars and Cocktails, or within any company organized events.

* Personal information shared by other members within the club.

2. Non-Disclosure.

The Member agrees:

* To hold the Confidential Information in strict confidence and not to disclose it to any third party without the prior written consent of the Company.

* To use the Confidential Information solely for the purpose of participating in the Company's membership program.

* To take all reasonable steps to protect the Confidential Information from unauthorized disclosure, including, but not limited to, storing it securely and limiting access to it.

* To not take photos or videos of other members without their express consent, within Sugar Daddy's Cigars and Cocktails, or at organized events.

* To not share any information shared by other members, outside of the club.

3. Exceptions.

The obligations of confidentiality under this Agreement shall not apply to information that:

* Is or becomes publicly known through no fault of the Member.

* Is rightfully received by the Member from a third party without any obligation of confidentiality.

* Is independently developed by the Member without use of the Confidential Information.

* Is required to be disclosed by law or court order, provided that the Member provides the Company with prompt notice of such requirement and cooperates with the Company in seeking a protective order or other appropriate relief.

4. Return of Confidential Information.

Upon termination of the Member's membership or upon the Company's request, the Member shall promptly return to the Company all Confidential Information in the Member's possession or control.

5. Remedies.

The Member acknowledges that unauthorized disclosure of the Confidential Information may cause irreparable harm to the Company, for which monetary damages may be inadequate. The Company shall be entitled to seek injunctive relief and other equitable remedies, in addition to any other remedies available at law or in equity.

6. Term.

This Agreement shall remain in effect during the Member's membership and shall survive the termination of the Member's membership for a period of [NUMBER] years.

7. Governing Law.

This Agreement shall be governed by and construed in accordance with the laws of the State of [STATE].

8. Entire Agreement.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written.

9. Severability.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10. Amendments.

This Agreement may be amended only by a written instrument signed by both parties.
